By accessing or using our Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.
RUNSTACK Technologies Inc. is a Canadian company incorporated under the laws of British Columbia, with its principal office located in Ontario Canada.Our Platform is accessible to users worldwide, including but not limited to the United States, the European Union, Japan, Korea, and Singapore.
These Terms constitute a binding legal agreement between you and RUNSTACK. Your continued use of the Platform constitutes your acceptance of any future updates or amendments to these Terms.
Certain sections or functionalities of the Platform may be subject to additional terms, policies, or agreements (such as our Privacy Policy, Responsible AI Policy, or Terms of Service). In the event of a conflict, the more specific or updated terms shall prevail.
You may use the Platform solely for lawful purposes and in accordance with these Terms.
You agree to use the Platform only:
For personal or internal business use;
In compliance with all applicable local, national, and international laws and regulations;
• In a manner that does not infringe upon the rights of RUNSTACK or any third party.
RUNSTACK grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.
This license does not include any rights to:
Modify, reproduce, or publicly display Platform content;
Distribute or resell any part of the Platform;Interfere with the Platform’s functionality or security;
Access or scrape data for commercial or competitive purposes.
Certain features of the Platform may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
You agree to:
Provide accurate, current, and complete information;
Notify us immediately of any unauthorized use or security breach;
Not use another user’s account without permission.
You agree not to engage in any of the following prohibited activities:
Using the Platform to violate any law, regulation, or the rights of others.
Attempting to interfere with or disrupt the operation of the Platform or its associated networks.
Gaining unauthorized access to any portion of the Platform, accounts, systems, or networks.
Scraping, crawling, mining, or collecting information without written authorization.
Posting or transmitting false, misleading, defamatory, or infringing content.
Using automated systems (bots, scripts, or crawlers) to send requests, generate data, or access APIs without consent.
Uploading or distributing viruses, malware, spyware, or other harmful code.
RUNSTACK reserves the right to suspend or permanently ban any account or IP address associated with misuse or policy violations.
All content on the Platform—including but not limited to software, code, text, graphics, images, logos, interfaces, and design—is the intellectual property of RUNSTACK or its licensors, protected by Canadian, U.S., EU, and international copyright and trademark laws. You acknowledge and agree that:
The RUNSTACK name, logo, and all related marks are trademarks owned or licensed by RUNSTACK.
You have no ownership rights in the Platform or its contents.
Any unauthorized use, reproduction, or modification of our intellectual property may result in civil or criminal penalties.
If you believe any material on the Platform infringes your intellectual property rights, please contact us immediately at legal@runstack.ai
You may have the ability to submit, upload, or post materials, prompts, or data to the Platform (“ User Content”). By submitting such content, you grant RUNSTACK a worldwide, royalty-free, non-exclusive license to host, store, reproduce, and process your content solely to operate, maintain, and improve the Platform. You represent and warrant that your User Content:
Does not infringe on any third-party rights (including copyright, trademark, or privacy);
Is lawful, truthful, and accurate to the best of your knowledge;
Does not contain malicious or harmful code.
RUNSTACK reserves the right to remove or restrict access to any User Content that violates these Terms or applicable law.
Your use of the Platform is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. RUNSTACK complies with applicable privacy and data protection regulations, including:
The Personal Information Protection and Electronic Documents Act (PIPEDA) (Canada),
The General Data Protection Regulation (GDPR) (EU),
The California Consumer Privacy Act (CCPA) (US),
The Act on the Protection of Personal Information (APPI) (Japan),
The Personal Information Protection Act (PIPA) (Korea), and
The Personal Data Protection Act (PDPA) (Singapore).
By using our Platform, you consent to our handling of your personal data in accordance with these laws and our Privacy Policy.
Third-Party Links and Services
The Platform may contain links to third-party websites or services for convenience. RUNSTACK does not endorse, control, or assume responsibility for the content, privacy policies, or practices of these third-party sites.
You access third-party websites at your own risk and are subject to their respective terms of use.
By registering for or using the Platform, you grant RUNSTACK Inc. a non-exclusive, worldwide, royalty-free right to identify your company as a user of the Platform in RUNSTACK’s marketing, promotional, and public communications materials. This may include the display of your company’s name, logo, and publicly available brand assets on RUNSTACK’s website, social media, investor materials, press releases, and other marketing collateral.
RUNSTACK will not use, display, or reference any individual’s personal name, image, likeness, or personally identifiable information without that individual’s explicit prior written consent.
You may revoke this permission at any time by providing written notice to legal@runstack.ai, and RUNSTACK will make reasonable efforts to remove your company’s name and logo from future marketing materials.
The Platform and all related content are provided on an “as is” and “as available” basis. RUNSTACK makes no representations or warranties of any kind, express or implied, regarding:
Accuracy, reliability, or completeness of the Platform;
Availability or uninterrupted access;
Compatibility with your devices or software;
Fitness for a particular purpose or non-infringement.
You assume all risk for your use of the Platform. RUNSTACK disclaims all liability for any harm arising from errors, outages, or unauthorized access.
To the fullest extent permitted by applicable law:
RUNSTACK and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, arising from or related to your use of the Platform.
RUNSTACK’s total cumulative liability to you shall not exceed one hundred (100) U.S. dollars (USD) or the total amount you have paid to RUNSTACK in the past six months, whichever is greater.
You agree to defend, indemnify, and hold harmless RUNSTACK and its officers, employees, contractors, and affiliates from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
Your violation of these Terms;
Your misuse of the Platform;
Your violation of any law or third-party rights.
RUNSTACK may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if:
You violate these Terms or applicable law;
Your conduct harms or risks harm to other users or the Platform’s integrity;
Required by law or regulatory authorities. Upon termination, your right to use the Platform ceases immediately.
The Platform is operated from Canada but may be accessed globally. You are responsible for compliance with all local laws applicable in your jurisdiction. You may not use or export any part of the Platform in violation of:
Canadian export laws
U.S. Export Administration Regulations (EAR), or
Any other applicable export control or sanctions regulations.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada, without regard to conflict-of-law principles.
All disputes shall be resolved exclusively in the courts of Ontario, British Columbia, unless otherwise required by applicable consumer protection laws.
Users in other jurisdictions may have additional statutory rights which these Terms do not supersede.
RUNSTACK reserves the right to modify or update these Terms at any time.
Material changes will be communicated via our website or by email.
Your continued use of the Platform following any modification constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, along with our Privacy Policy and other referenced documents, represent the entire agreement between you and RUNSTACK concerning the use of the Platform and supersede all prior understandings.

The Terms of Use governs your behavior and access to the platform, while the Terms of Service governs your commercial relationship and rights to the Services.Continued use of the Platform constitutes acceptance of all applicable RUNSTACK terms and policies.
